
Assistant General Counsel
AmericanAg®, a global provider of diversified reinsurance services, is looking for an Assistant General Counsel to work out of our office in Schaumburg, Illinois. This is a hybrid position working in the office a minimum of three days a week.
The Office of General Counsel provides legal counsel and services across a wide variety of insurance/reinsurance matters. As a trusted advisor, the Assistant General Counsel will provide strategic legal guidance across AmericanAg® and AFBIS, Inc. This role involves identifying, researching, and analyzing legal issues impacting global reinsurance operations, while clearly articulating risks and opportunities to senior leadership.
The Assistant General Counsel will be responsible for:
- Drafting, negotiating, and advising on various commercial contracts in furtherance of the business objectives of AmericanAg®, AFBIS, and related companies, including offering legal advice to internal clients and negotiating with third-party vendors
- Serving as trusted legal advisor to and point of contact for legal inquiries across departments within AmericanAg® and AFBIS, providing well-reasoned and pragmatic legal advice
- Counseling on legal handling of business transactions, assisting in structuring and negotiating complex transactions, and developing procedures to reduce risk
- Preparing insurance company filings as required with U.S. state and federal regulatory authorities, international regulatory authorities, and various associations
- Assisting in other regulatory matters with various departments, boards, bureaus, and/or associations
- Assisting with handling of legal issues and projects related to corporate operations of AmericanAg®, AFBIS, and related companies
- Providing guidance to business units on reinsurance and insurance contract terms and operations, as well as detailed analysis of key coverage considerations
- Assisting in refining and executing the AmericanAg® and AFBIS legal strategy for data privacy and artificial intelligence governance
- Drafting, reviewing, and updating corporate policies and governance documents for AmericanAg®, AFBIS, and related companies
- Overseeing maintenance of legal files and corporate records
- Providing legal support, as needed, for related entities such as CIC and AAIA
- Participating in, developing, and/or leading company-wide training on key legal, regulatory, and compliance matters, along with emerging issues
What you will bring to this position:
- Juris Doctor degree and licensed to practice law in Illinois
- 8+ years legal experience (preferably with both law firm and in-house insurance or reinsurance company experience)
- Extensive experience with insurance and reinsurance laws, including policies, practices, trends, and litigation methodologies
- Experience working with the Federal Crop Insurance Program and product offerings is a plus
- Proven experience drafting, negotiating, and advising on complex commercial contracts; experience with insurance/reinsurance policy contract drafting is a plus
- Understanding of insurance regulatory and compliance environment, including relevant policies, laws, and regulations across multiple jurisdictions
- Strong analytical skills and the ability to interpret complex insurance regulatory requirements and communicate them effectively to internal stakeholders
- Excellent written and verbal communication skills, with the ability to be detail oriented and present legal concepts in a clear and concise manner
- Proven ability to manage multiple projects, prioritize effectively, and meet deadlines in a fast-paced, dynamic environment
*The expected starting salary range for this position is between $170,000 and $205,000. Applicable salary ranges may differ across markets. Actual pay will be determined based on experience and other job-related factors permitted by law. This position is also eligible for an annual productivity bonus.
