Role summary

Carta is seeking a Solutions Counsel for its Contracts team within the Americas function. This role focuses on managing the full lifecycle of commercial contracts for investment fund and asset manager clients, including pre-M&A agreements like NDAs, NRLs, and engagement letters. The Counsel will serve as the primary client contact, build trusted advisor relationships, and maintain client playbooks. Responsibilities include negotiating high volumes of contracts at speed, mentoring junior legal staff, and contributing to the improvement of legal technology, including AI-backed tools. The ideal candidate is commercially minded, client-focused, experienced in transactional law with 6-8+ years of post-law school experience, and familiar with financial services. Tech-savviness and a proactive, self-starting attitude are essential.

The Team You'll Work With

You'll be joining our Carta Law team, specifically within the Contracts team - Americas function.

Our Contracts team manages the full lifecycle of commercial contracts for clients – from first review through to execution. You'll be the direct day-to-day contact for sophisticated investment fund and asset manager clients, working alongside fellow lawyers and paralegals. This team delivers high volumes of pre-M&A contract work at speed, supported by AI-backed tools including Carta's proprietary platform, Ava.

Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times

Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers

Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations

Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture

Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools

About You

We are looking for someone who is:

Commercially minded and client-focused. You communicate legal advice crisply and concisely, building strong relationships with sophisticated financial services clients.

Experienced in transactional law. You have 5+ years of post law school corporate or transactional experience, with a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters)

Familiar with financial services. You have experience working with asset managers, investment banks, or other financial services firms and understand their expectations.

Law Degree and licensed to practice. You are licensed to practice law in the Americas (US/Canada).

Tech-savvy and adaptable. You are comfortable working with and evolving a legal technology suite (e.g. AI tools, HighQ), and an interest in legal tech or AI is a strong plus.

A self-starter who owns their work. You thrive in a fast-paced environment, prioritize effectively, and are always looking for ways to improve and innovate.

Salary

Carta’s compensation package includes a market competitive salary, equity for all full time roles, exceptional benefits, and, for applicable roles, commissions plans. Our expected cash compensation (salary + commission if applicable) range for this role is:

$149,600 - $187,000 in Dallas, Texas

We are hiring for multiple levels and locations, so final offers may vary from the amounts listed based on geography, experience and expertise, and other factors. Please note this is a full time role.
