Mecka AI is seeking a Commercial and International Counsel to draft and negotiate various agreements, including data licensing, partnership, and vendor contracts. The counsel will also advise on hardware import/export, customs, and certifications, and manage outside counsel globally. The ideal candidate has 5-8+ years of commercial and transactional experience, preferably in-house at a high-growth, international company, with a strong record in drafting and negotiating complex deals, particularly concerning data ownership and risk allocation. Experience with AI/ML contracts and SOC 2 compliance is a plus.
About Mecka AI
Mecka AI is building the data infrastructure layer for robotics and embodied AI.We design and operate global systems for data capture, data labeling, and hardware-enabled workflows used by leading AI labs and robotics companies to train and validate humanoid and embodied AI systems. We work closely with frontier robotics teams to bridge real-world data, simulation, learning-based systems, and deployed hardware.
About the Role
We sign contracts on both sides of our dataset. On the supply side we work with capture partners, merchants, BPO vendors, and enterprise partners under a mix of commercial structures, and on the demand side we license datasets to AI research labs. Each new market adds entity setup, local contractor and employment terms, and capture hardware that has to be imported, certified, and serviced.
As Commercial and International Counsel, you will draft and negotiate these agreements, build the templates and playbooks that let our commercial teams close deals without waiting on legal, and run the legal workstream for each new market alongside the operations team. You will protect our ownership of the data we collect and fund, and make sure the risk we accept in any contract is priced and capped.
What You Will Do
Commercial contracts: Draft and negotiate data licensing agreements with AI customers, capture partnership agreements, BPO and vendor agreements, and compute, cloud, and software contracts, holding a firm line on data ownership and on vendor use of our data.
Templates and playbooks: Build standard agreements, negotiation playbooks with approved fallback positions, and an approval matrix so that sales and partnership teams can close routine deals without a legal review of every term.
Market entry: Lead the legal workstream for each new country, covering entity formation, local contractor and employment agreements, permanent establishment and tax exposure with finance, and the licences and filings a market needs before it opens.
Hardware and trade: Advise on the import and export of capture devices, customs classification, radio and product certification, warranties, and repair and logistics contracts in every market where our hardware is deployed.
Outside counsel: Select, brief, and manage local law firms across markets, set scopes and deadlines, hold firms to budget, and turn their assessments into clear decisions for the operating teams.
What You Bring
Qualification: Law degree and admission to practice in at least one jurisdiction.
Experience: 5 to 8+ years of commercial and transactional practice, including in-house time at a high-growth company operating in several countries.
Deal work: A proven record of drafting and negotiating customer agreements, data licensing, technology, vendor, and partnership agreements with limited supervision, and of advising and training commercial teams on deal structure and risk allocation.
Even better if you have
Data and IP: Experience with complex commercial contracts, including dataset licensing, ownership of collected data, and contracts with AI and machine learning companies.
International: Direct experience setting up operations in new countries, including entity formation, contractor classification, and hardware imports.
SOC 2 compliance or audit-readiness initiatives is an asset.
