Summary

OneStream is seeking a Legal Counsel to join its Legal team. The role will primarily focus on sales transactions for SaaS offerings and professional services. Responsibilities include negotiating and driving strategic transactions and managing a significant volume of sales agreements. The Legal Counsel will provide guidance to the sales team and other relevant groups on various licensing, intellectual property, commercial, data security, privacy, and AI matters. Additionally, the role will contribute to projects aimed at enhancing processes related to the review, approval, and negotiation of commercial and legal terms across all business areas.

Primary Duties and Responsibilities

Draft, review, and negotiate global sell-side SaaS and software license agreements and amendments, as well as other commercial or corporate agreements such as NDAs, Data Processing Agreements, AI Terms, and vendor agreements.

Subject matter expertise into nuanced areas of commercial transactions, including but not limited to those related to transactions with entities in regulated and quasi-regulated industries such as governments, financial institutions, etc. This includes the ability to collaborate with specialized vertical stakeholders internally and become a trusted advisor to their teams.

Extensive interaction with cross-functional teams (e.g., Finance, Product, Alliances, Customer Success, Marketing) at all organizational levels with an expectation of maintaining high levels of responsiveness and customer service.

Provide support to sales and account managers on issues of contract interpretation.

Improve efficiency and compliance by changing processes and training the sales team.

Work with the Compliance Team on various issues, including but not limited to, privacy and AI matters.

Required Education and Experience

JD from an accredited US law school.

Member of a State Bar and in good standing.

1-5 years of commercial transaction experience.

Experience with a business-oriented focus on the sell-side negotiation of software, SaaS, and technology-related license agreements.

Proven history of being a practitioner in the art of negotiation and creative solutions through the deal life cycle.

Experience with direct interaction with both internal and external clients and across all organizational levels.

Preferred Education and Experience

Preferred legal experience at a technology company.

Industry-related (e.g. IAPP) certifications for privacy and/or AI.

Knowledge, Skills, and Abilities

Strong sell-side commercial transactions background.

Experienced in the practice of delivering creative solutions throughout the transaction life cycle.

High degree of independence, initiative, judgement, and decisiveness.

Ability to deliver results, both as an individual contributor and as a member of the global legal teams.

Capacity to lead projects and coordinate external advisors.

Demonstrated ability to quickly digest complex information and informed decisions.

Must be self-motivated with high energy.

Strong analytical, attention-to-detail, and problem-solving skills.

Strong written and verbal communication skills, including the drafting of agreements and giving advice in plain English.

Excellent interpersonal skills.

Comfortable in a fast-paced and evolving environment.

Fluent in Spanish would be a plus.

Travel

No consistent travel is expected for this position.

Total compensation is based on experience, skills, and location using objective, job-related criteria. Additional variable compensation and benefits may apply.

Gross annual base salary$110,000—$128,500 USD
